Terms of engagement.

Effective 31 May 2026. The contract before the contract. This page is a plain English summary. The signed Statement of Work is the binding agreement.

dotnot.solutions, a business architecture and operational consulting practice working inside founder-led SMEs across the GCC and India. Founded in 2023 by M Nasim, Murshid Basil, and Adithyan M Nair.

A summary of how we engage. The signed Statement of Work for each engagement is the binding contract. This page is what you read before we draft one.

03 · Scope of engagement

Scope of engagement.

Every engagement begins with a written Statement of Work listing deliverables, timeline, and payment schedule. We do not begin work without it. Scope changes require a written amendment.

04 · Fees and payment

Fees and payment.

Fixed fees or quarterly retainers, per the Statement of Work. Invoiced monthly. Net fourteen days. Wire transfer or Stripe. Late beyond thirty days pauses work until cleared.

05 · Confidentiality

Confidentiality.

Everything you tell us is confidential. We sign mutual NDAs on request. We do not publicly name clients without written permission. Aggregated, anonymised metrics may appear in case studies after an engagement closes.

06 · Intellectual property

Intellectual property.

Deliverables created for you belong to you on final payment. Our underlying methods, templates, and frameworks remain ours. You receive a perpetual licence to use the deliverables inside your business.

07 · Liability and limits

Liability and limits.

We take the work seriously. Our maximum liability under any engagement is capped at the fees you paid in the prior twelve months. We carry professional indemnity insurance. We are not liable for indirect or consequential losses.

08 · Termination

Termination.

Either party may terminate with thirty days written notice. Pro-rated fees through the termination date are due. Work in progress is delivered as is.

09 · Governing law

Governing law.

DIFC courts for UAE engagements. Bombay High Court for India engagements. The specific forum is stated in each Statement of Work. We prefer to resolve things at the table. Lawyers only when necessary.
